By accessing or using the website of TUODA Industry Limited ("TUODA," "we," "our," or "us") at www.tuodaindus.com, or by placing an order, submitting an inquiry, or entering into any commercial transaction with TUODA, you ("Buyer," "Customer," or "you") agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms in their entirety, you must not use this website or engage in any commercial relationship with TUODA. Your continued use of our services constitutes ongoing acceptance of these Terms as they may be updated from time to time.

For the purposes of these Terms, the following definitions apply:

You agree to use this website only for lawful purposes and in accordance with these Terms. You are prohibited from:

• Using the site in any way that violates applicable local, national, or international laws or regulations;
• Transmitting unsolicited commercial communications or engaging in data harvesting;
• Attempting to gain unauthorized access to any part of the website or its related systems;
• Reproducing, distributing, or commercially exploiting any content without prior written consent from TUODA;
• Misrepresenting your identity, affiliation, or intended use of Products when submitting inquiries.

TUODA reserves the right to suspend or terminate access to the website for any user who violates these Terms, without prior notice.

The information provided on this website, including product specifications, CAS numbers, and application descriptions, is for general reference purposes. Technical details should be confirmed via official Documentation before procurement decisions are made.

All orders are subject to TUODA's acceptance and availability. Submission of an inquiry or purchase order does not constitute a binding contract until TUODA issues a formal written order confirmation or proforma invoice.

Customers are responsible for:

• Ensuring they hold all necessary import permits, licenses, and regulatory approvals required in their jurisdiction;
• Providing accurate end-use declarations and destination information;
• Complying with all applicable export control laws, including but not limited to Chinese export regulations, REACH (EU), and relevant national chemical control legislation;
• Verifying that the intended use of Products is lawful in the destination country.

Custom synthesis orders are subject to separate feasibility assessment. TUODA will evaluate the target compound, required purity, quantity, application, and destination before confirming acceptance of any custom order.

All prices are quoted in US Dollars (USD) unless otherwise specified in writing. Prices are subject to change without notice and are confirmed only upon issuance of a formal quotation or proforma invoice.

Standard payment terms are as follows:

• Telegraphic Transfer (T/T): 30-50% advance payment upon order confirmation; balance prior to or upon shipment, as agreed;
• Letter of Credit (L/C): Available for qualified buyers on orders above minimum thresholds, subject to TUODA's approval;
• Other terms may be negotiated for long-term supply agreements.

All bank charges and transfer fees are the responsibility of the Customer. Prices do not include customs duties, import taxes, or destination country levies unless explicitly stated. TUODA reserves the right to add surcharges for hazardous material handling, special packaging, or regulatory compliance documentation.

TUODA ships Products worldwide using approved freight carriers and packaging methods compliant with international dangerous goods regulations (IATA, IMDG, ADR) where applicable. Delivery terms (Incoterms) are specified in the proforma invoice and may include EXW, FOB, CIF, or other mutually agreed terms.

Estimated lead times and delivery schedules are provided in good faith but are not guaranteed. TUODA shall not be liable for delays caused by:

• Customs clearance procedures or regulatory inspections at the destination;
• Force majeure events including natural disasters, pandemics, or government actions;
• Carrier delays or logistics disruptions beyond TUODA's reasonable control;
• Incomplete or inaccurate shipping information provided by the Customer.

Risk of loss and title transfer to the Customer at the point specified in the agreed Incoterms. Customers are strongly advised to arrange appropriate cargo insurance for all shipments, particularly for Hazardous Materials.

TUODA manufactures Products in accordance with ISO quality management standards and provides the following documentation upon request:

Claims regarding product quality, specification deviation, or damage must be submitted in writing within 7 calendar days of receipt of goods, accompanied by photographic evidence and relevant documentation. TUODA will investigate all claims in good faith and may request return of samples for analysis.

TUODA's liability for quality claims is limited to replacement of non-conforming Products or issuance of a credit note, at TUODA's sole discretion. TUODA shall not be liable for any consequential, incidental, or indirect damages arising from product quality issues.

All content on this website, including but not limited to text, product descriptions, technical data, graphics, logos, and the TUODA brand identity, is the intellectual property of TUODA Industry Limited and is protected by applicable copyright, trademark, and intellectual property laws.

You may not reproduce, republish, distribute, or commercially exploit any content from this website without TUODA's prior written consent. Limited use for internal business evaluation purposes is permitted, provided that proper attribution is maintained and no commercial benefit is derived.

Any custom synthesis work, formulations, or technical solutions developed by TUODA in collaboration with a Customer shall be governed by a separate Non-Disclosure Agreement (NDA) and intellectual property assignment terms agreed upon in writing prior to commencement of work.

To the maximum extent permitted by applicable law, TUODA's total liability to any Customer arising out of or in connection with these Terms, any order, or the supply of Products shall not exceed the total invoice value of the specific order giving rise to the claim.

TUODA shall not be liable for any:

• Loss of profit, revenue, or business opportunity;
• Loss of data or information;
• Indirect, consequential, special, or punitive damages;

• Claims arising from the Customer's failure to comply with applicable laws and regulations in their jurisdiction.

Both parties agree to treat as confidential any proprietary business information, technical data, pricing, formulations, or trade secrets disclosed in the course of their commercial relationship. Neither party shall disclose such information to third parties without prior written consent, except as required by law or regulatory authority.

This confidentiality obligation survives the termination of any commercial relationship or these Terms for a period of five (5) years. For custom synthesis projects involving novel compounds or processes, a separate NDA may be required prior to disclosure of detailed specifications.

These Terms and any disputes arising out of or in connection with them shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If a resolution cannot be reached within 30 days, disputes shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC), with the seat of arbitration in Beijing, China. The arbitration shall be conducted in English.

Nothing in this clause shall prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction to prevent irreparable harm.

TUODA reserves the right to modify these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where appropriate, by direct notification to registered users or existing customers.

Your continued use of the website or engagement in commercial transactions with TUODA following any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to remain informed of any updates.

For significant regulatory or legal changes affecting B2B transactions, TUODA will make reasonable efforts to provide advance notice of at least 14 days before the revised Terms take effect.
